MISCELLANEOUS ADDENDUM A

This Miscellaneous Addendum A ("Addendum") is entered into as of by and between ("Party A") and ("Party B").

RECITALS

WHEREAS, Party A and Party B are parties to a written agreement titled dated (the "Agreement"); and

WHEREAS, the parties desire to amend and supplement the Agreement to set forth additional services, payment terms and certain other provisions as set forth in this Addendum; and

WHEREAS, except as expressly modified by this Addendum, all terms and conditions of the Agreement remain in full force and effect.

SCOPE OF WORK

The parties agree that, beginning on the Effective Date set forth herein, Party B shall perform the services described below in accordance with the standards of care customarily exercised by professionals performing similar services.

PAYMENT TERMS

Party A shall pay Party B for the services described in the Scope of Work in accordance with the terms below. All payments are exclusive of applicable taxes unless otherwise stated.

If any undisputed amount due hereunder is not received by Party B within days after the due date, such amount shall accrue interest at % per month (or the maximum rate permitted by law), or a flat late charge of , whichever is greater.

TERM AND TERMINATION

This Addendum shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for cause upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall be without prejudice to any right or remedy accrued prior to termination.

CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary or business information disclosed by a disclosing party to the receiving party, whether disclosed orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) hold Confidential Information in strict confidence and use it only for purposes of performing under this Addendum; (b) not disclose Confidential Information to any third party except to those employees, agents or consultants who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (c) apply at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of any obligation owed to the disclosing party; (ii) was known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without access to or use of the disclosing party's Confidential Information.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the state selected below, without regard to its conflicts of laws principles.

ENTIRE AGREEMENT

This Addendum, together with the Agreement and any documents incorporated therein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral, relating to such subject matter. Any amendment or modification of this Addendum must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Addendum without the prior written consent of the other party, except that either party may assign this Addendum in connection with a merger, sale of substantially all assets, or corporate reorganization provided the assignee assumes the assigning party's obligations hereunder.

Severability: If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable while preserving the intent of the parties.

Remedies: Except as otherwise provided herein, the rights and remedies provided in this Addendum are cumulative and not exclusive of any rights or remedies available at law or in equity.
