Recitals

WHEREAS, Provider is engaged in the business of providing specialized services and has represented that Provider possesses the necessary expertise, personnel and resources to perform the services described herein; and

WHEREAS, Client desires to retain Provider to perform certain services as set forth in this Agreement commencing on and continuing in accordance with the terms below.

WHEREAS, the Parties desire to set forth their entire agreement regarding the subject matter hereof in writing.

Scope of Work

Provider shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with industry standards. Services shall include the tasks, deliverables, milestones and any acceptance criteria set out in this Section.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for the services. Fees are exclusive of applicable taxes unless otherwise stated.

Invoices rendered by Provider shall be payable within days of Client's receipt, unless otherwise agreed in writing. Overdue amounts shall accrue interest at (or the highest rate permitted by law), and Client shall also be responsible for reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Either Party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach, or immediately for insolvency or bankruptcy of the other Party.

Confidentiality

"Confidential Information" means any non-public information disclosed by one Party to the other, whether disclosed orally, visually or in writing, that is marked or otherwise identified as confidential or that by its nature should reasonably be considered confidential. Each Party shall (a) hold Confidential Information in strict confidence, (b) not use Confidential Information for any purpose other than performing under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement.

Confidentiality obligations shall survive termination of this Agreement for years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

Provider and Client each acknowledge that they have read and understand the confidentiality provisions and agree to be bound by them.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in such state for disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

Miscellaneous Provisions

Neither Party shall assign this Agreement without the prior written consent of the other Party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of Provider's assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
