MISCELLANEOUS ANNEXES

Recitals

WHEREAS, Client Name: is a party to the Parent Agreement identified above and desires to add or modify certain ancillary terms by this Annex;

WHEREAS, Contractor Name: has the capacity and agrees to perform the services and obligations set forth in this Annex under the terms and conditions herein;

WHEREAS, the parties intend that this Annex be incorporated into the Parent Agreement and shall control to the extent of any conflict between the Parent Agreement and this Annex.

Either party may terminate this Annex for convenience upon days' prior written notice to the other party. Termination for cause shall be permitted where the non‑breaching party provides written notice describing the breach and a reasonable opportunity to cure; if the breach is not cured within the cure period specified in the notice, the non‑breaching party may terminate immediately.

Confidentiality

Each party shall treat all information disclosed in connection with this Annex that is marked confidential or reasonably should be understood to be confidential as Confidential Information. Confidential Information shall not be used except to perform obligations under this Annex and shall not be disclosed to any third party except as permitted by this Annex or required by law. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own similar confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (a) is or becomes publicly available through no wrongful act of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Representations; Warranties; Liability

Each party represents and warrants that it has the full power and authority to enter into this Annex and that execution and performance will not violate any agreement to which it is a party. Contractor warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS ANNEX, NO OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE MADE, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental, special, or punitive damages.

Change Orders and Attachments

Any modification to scope, schedule, or price shall be documented in a written Change Order signed by authorized representatives of both parties and attached to this Annex as an amendment.

Governing Law

This Annex shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement; Severability

This Annex, together with the Parent Agreement and any incorporated attachments or Change Orders, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral. If any provision of this Annex is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
