This Asset Purchase Agreement (the "Agreement") is made as of by and between Seller Name: and Buyer Name: .

RECITALS

WHEREAS, Seller owns and operates certain tangible and intangible assets, including but not limited to equipment, inventory, contracts, goodwill and intellectual property, intended to be transferred pursuant to this Agreement (the "Purchased Assets");

WHEREAS, Buyer desires to purchase from Seller, and Seller desires to sell to Buyer, the Purchased Assets on the terms and subject to the conditions set forth in this Agreement;

WHEREAS, the parties intend by this Agreement to set forth the entire understanding between them with respect to the subject matter hereof and to provide for an orderly transfer of the Purchased Assets and allocation of liabilities as specified below.

SCOPE OF WORK

The Purchased Assets subject to this Agreement and the specific obligations to be performed by Seller and Buyer are described in detail below. The description controls in the event of any inconsistency with other provisions of this Agreement.

PAYMENT TERMS

Purchase Price: Buyer shall pay to Seller the total purchase price for the Purchased Assets as follows.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate specified below until paid in full. Interest is intended as liquidated damages and not a penalty.

TERM AND TERMINATION

Term: This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Termination for Cause: Either party may terminate this Agreement upon material breach by the other party if such breach is not cured within the notice period specified below.

CONFIDENTIALITY

Each party shall keep confidential all non-public information obtained from the other party in connection with this Agreement ("Confidential Information") and shall not disclose such information to third parties except as required by law or as necessary to perform obligations under this Agreement. Confidential Information does not include information that is publicly known through no fault of the recipient.

INDEMNIFICATION

Seller shall indemnify, defend and hold harmless Buyer from and against any losses arising out of Seller's breach of any representation, warranty or covenant in this Agreement and any liabilities related to the Purchased Assets that are expressly identified as Seller's responsibility. Buyer shall indemnify, defend and hold harmless Seller from and against losses arising out of Buyer's breach or Buyer's operation of the Purchased Assets after Closing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State specified below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

MISCELLANEOUS PROVISIONS

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Any provision of this Agreement found to be invalid or unenforceable shall be severed to the minimum extent necessary and the remaining provisions shall remain in full force and effect.
