The Contractor shall perform the services described below in accordance with the terms and schedules set forth in this Appendix. Services shall be performed in a professional manner consistent with industry standards.

PAYMENT TERMS

The Client shall pay the Contractor in accordance with the terms below. All amounts are stated in the currency agreed in the Agreement unless otherwise specified.

TERM AND TERMINATION

This Appendix shall commence on and shall terminate on unless earlier terminated in accordance with this Appendix or the Agreement.

Except as otherwise set forth in this Appendix, termination shall be governed by the termination provisions of the Agreement. In the event of termination, Contractor shall be compensated for work performed and accepted through the effective date of termination, subject to setoffs for defects or breach.

CONFIDENTIALITY

The Parties acknowledge that in performing under this Appendix each may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in connection with the Agreement and this Appendix including trade secrets, business plans, technical information, and financial data. Confidential Information does not include information which (i) is or becomes public through no fault of the receiving Party; (ii) was rightfully known to the receiving Party prior to disclosure; (iii) is independently developed without use of the disclosing Party's Confidential Information; or (iv) is rightfully obtained from a third party without restriction.

Each receiving Party shall hold Confidential Information in confidence, use it solely to perform its obligations under this Appendix, and restrict disclosure to those employees or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein. These obligations shall survive termination for a period of three (3) years, or longer if required by the Agreement.

CHANGE ORDERS

Any changes to scope, schedule, or price shall be documented with a written change order signed by authorized representatives of both Parties. No change order shall be effective until executed by both Parties.

GOVERNING LAW

This Appendix shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT; AMENDMENT

This Appendix, together with the Agreement, constitutes the entire understanding between the Parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings relating thereto. In the event of any conflict between this Appendix and the Agreement, the terms of the Agreement shall govern unless this Appendix expressly states otherwise.

No amendment or waiver of any provision of this Appendix shall be effective unless in writing and signed by authorized representatives of both Parties.
