MISCELLANEOUS APPENDIX C TEMPLATE

This Miscellaneous Appendix C Template (the "Appendix") is made effective as of by and between:

Recitals

WHEREAS, Client and Service Provider are parties to a Master Services Agreement dated (the "Master Agreement"); and

WHEREAS, the parties desire to set forth additional terms and specific services, compensation and administrative provisions applicable to certain work to be performed under the Master Agreement; and

NOW, THEREFORE, in consideration of the mutual promises set forth herein and in the Master Agreement, the parties agree as follows:

Scope of Work

All work described in this Appendix shall be performed in a professional and workmanlike manner in accordance with industry standards. Any change to the scope that materially affects price, schedule or deliverables must be made by written change order signed by authorized representatives of both parties.

Payment Terms

Invoices shall be issued in accordance with the payment schedule and are payable within days of receipt unless otherwise agreed in writing. All payments shall be made in the currency specified in the Master Agreement.

If any undisputed amount is overdue, interest will accrue on the overdue principal at the rate specified above from the due date until paid. The late fee shall not be construed as the sole remedy for nonpayment and is in addition to any remedies available at law or equity.

Term and Termination

The term of this Appendix shall commence on the Start Date and continue until the End Date unless earlier terminated as provided herein.

Either party may terminate this Appendix for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following receipt of written notice describing the breach with reasonable particularity. Termination shall be without prejudice to any remedies accrued prior to termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose or use any Confidential Information of the other party except as necessary to perform its obligations under this Appendix. "Confidential Information" includes non‑public business, technical, financial and product information, trade secrets, and any other information the disclosing party designates as confidential, provided that information that is publicly known without breach of this Appendix, independently developed by the Receiving Party, or rightfully received from a third party without restriction shall not be Confidential Information.

Upon termination or expiration of this Appendix, the Receiving Party shall, upon written request, promptly return or destroy Confidential Information in its possession and certify such destruction if requested.

Governing Law

This Appendix shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the federal and state courts located in that State for resolution of disputes arising out of or relating to this Appendix.

Entire Agreement; Miscellaneous

This Appendix, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. In the event of any conflict between the terms of this Appendix and the Master Agreement, the terms of this Appendix shall control to the extent they specifically address the subject matter.

No amendment or waiver of any provision of this Appendix shall be effective unless in writing and signed by authorized representatives of both parties. This Appendix may be executed in counterparts and delivered by electronic image of a signature, each of which shall be deemed an original.
