This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between Party A: and Party B: .

WHEREAS

WHEREAS, Party A is engaged in the business of providing goods and/or services as described herein and possesses the skill, personnel, and capacity to perform the services requested; and

WHEREAS, Party B desires to retain Party A to perform certain services on the terms and conditions set forth in this Agreement and Party A is willing to provide such services as an independent contractor; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, and other terms governing their relationship in this Agreement.

SCOPE OF WORK

Party A shall perform the services described below in a professional manner consistent with industry standards. The parties acknowledge that any material change in scope shall require a written amendment signed by both parties.

PAYMENT TERMS

Compensation for the services shall be as follows. Unless otherwise agreed in writing, all fees are exclusive of taxes and reimbursable expenses which shall be paid by Party B in accordance with this section.

Late payments shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law. Party B shall also be responsible for any reasonable collection costs, including attorneys' fees, incurred by Party A to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing Notice Period (days): days' prior written notice to the other party. Either party may terminate immediately for cause if the other party breaches a material obligation and fails to cure such breach within thirty (30) days after written notice.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in writing or other tangible form or disclosed orally and reduced to writing within thirty (30) days, including but not limited to business plans, financial data, trade secrets, customer lists, and technical information.

The receiving party shall not disclose Confidential Information to any third party and shall use at least the same degree of care to protect Confidential Information as it uses for its own confidential information, but in no event less than reasonable care. The obligations under this Section shall survive termination for Confidentiality Period (years): years.

The obligations in this section shall not apply to information that (a) is or becomes generally available to the public through no fault of the receiving party; (b) is lawfully received from a third party without restriction; or (c) is independently developed without use of the disclosing party's Confidential Information. Notwithstanding the foregoing, the disclosing party shall be entitled to seek injunctive relief in the event of any actual or threatened breach.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the address set forth below for each party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by an authorized representative of each party.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all assets.
