Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. Confidential Information includes, without limitation, technical data, trade secrets, pricing, estimates, client lists, and design specifications.

The receiving party shall (a) hold Confidential Information in confidence using at least the same degree of care as it uses for its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as required to perform this Agreement or as required by law; and (c) use Confidential Information solely to perform its obligations under this Agreement. These obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.
