Parties and Effective Date

This COVID Addendum (Addendum) is entered into effective as of by and between:

WHEREAS

WHEREAS, the parties entered into a separate agreement identified as the underlying Agreement and desire to supplement that Agreement to address health, safety, performance, and payment issues arising from the COVID-19 pandemic and related public health responses; and

WHEREAS, the parties intend that this Addendum establish procedures for infection control, notification, workforce availability, modification of services, and allocation of risk and cost resulting from COVID-19 or similar communicable disease events;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Health and Safety Measures

Each party shall comply with applicable public health orders and all reasonable infection control measures identified by the parties, including reporting, screening, cleaning, use of personal protective equipment (PPE), and exclusion of personnel who present symptoms or test positive for COVID-19.

Vaccination or proof of immunity may be required for personnel entering client premises

Periodic testing required for personnel where reasonably necessary to reduce transmission risk

PPE procedures to be followed as specified in Scope of Work

Payment Terms

The parties agree the existing payment provisions of the underlying Agreement remain in effect except as modified below due to COVID-19 impacts.

If a change in law, public health order, or uncontrollable workforce disruption materially increases cost or delays performance, the affected party shall notify the other party, provide reasonable documentation of the impact, and the parties shall negotiate an equitable adjustment to price, schedule, or both. Except as otherwise agreed in writing, adjustments shall be limited to direct, documented costs and reasonable schedule extension.

Term and Termination

This Addendum commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for material breach not cured within the notice period specified in the underlying Agreement or within the notice_period_days specified above, whichever provides greater protection to the non-breaching party. Termination shall not relieve the breaching party of obligations accrued prior to termination.

The affected party shall use commercially reasonable efforts to mitigate impacts and shall promptly notify the other party. If a force majeure event prevents performance for a continuous period greater than days, either party may terminate upon written notice.

Confidentiality and Health Information

Each party shall maintain as confidential all health-related information collected or received in connection with implementation of this Addendum, including test results and vaccination status, and shall use such information solely for purposes of protecting health and safety. Client/Contractor authorize collection and limited use of health-related information as described above

Representations, Indemnity and Liability

Each party represents and warrants that it will comply with applicable public health laws and industry-standard infection control practices. Each party shall indemnify and hold the other harmless from third-party claims arising from the indemnifying party's negligent failure to comply with the requirements of this Addendum, except to the extent caused by the other party's negligence or willful misconduct. The parties agree that monetary damages shall be the exclusive remedy for breaches of this Addendum unless equitable relief is necessary to prevent irreparable harm.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of law rules.

Entire Agreement

This Addendum, together with the underlying Agreement, constitutes the entire agreement between the parties with respect to COVID-19 related adjustments and supersedes any prior or contemporaneous oral or written representations, understandings, or agreements regarding such matters. What a Miscellaneous COVID Addendum Is

A Miscellaneous COVID Addendum is a short written amendment attached to an existing contract that addresses COVID-related impacts and responsibilities. Typical topics include temporary operational changes, health and safety protocols, force majeure adjustments, payment or schedule modifications, remote-work arrangements, notification and testing obligations, and limited liability allocation for pandemic-related disruptions. The addendum modifies only the specific clauses it names and should reference the primary agreement, state governing law, effective date, and the parties authorized to sign. It is often used across leases, employment agreements, service contracts, and purchase orders to document agreed short-term changes.

Why Parties Use a COVID Addendum

A clear COVID addendum documents temporary expectations, reduces ambiguity about performance during public-health events, and preserves contractual relationships by defining notice, mitigation, and payment terms without reopening the entire agreement.

Why Parties Use a COVID Addendum

Who Typically Prepares or Signs This Addendum

The Miscellaneous COVID Addendum is used where one or more contract parties need to document short-term changes tied to a pandemic or public-health emergency.

  • Landlords and tenants — to adjust rent, access, or maintenance obligations during closures or restrictions.
  • Employers and employees — to set remote work, testing, vaccination, or leave protocols during outbreaks.
  • Vendors and buyers — to alter delivery schedules, force majeure triggers, or payment terms for supply-chain disruption.

Use cases also include healthcare providers, schools, and public agencies that must align operational procedures with evolving local health orders and record those changes in writing.

Core Elements to Include in a Professional Addendum

A compliant addendum is concise and focuses on the modification scope and practical steps for performance, notice, and documentation.

Effective Date

Specify the exact start date in MM/DD/YYYY format and whether the addendum terminates on a fixed date or upon specified public-health conditions or rescission.

Scope and Integration

Identify the original agreement and list the specific clauses being modified; confirm that all other provisions remain in full force and effect.

Health and Safety Measures

Describe required protocols such as masking, testing cadence, reporting obligations, isolation rules, and responsibility for PPE or sanitation costs.

Performance Adjustments

State temporary changes to deliverables, deadlines, payment timing, or service levels and define whether delays are excused or subject to cure periods.

Notice and Documentation

Require prompt written notice of a triggering COVID event, specify required supporting documentation, and set response timelines for remediation or dispute escalation.

Termination and Review

State how and when the addendum ends, conditions for early termination, and a commitment to review terms when public-health guidance materially changes.

Step-by-Step: How to Complete the Addendum

Follow these steps to prepare, review, and finalize the Miscellaneous COVID Addendum efficiently and clearly.

  • 01
Draft the text: Insert concise modifications referencing the original agreement.
  • 02
Confirm scope: Ensure only intended clauses are changed; avoid unintended revisions.
  • 03
Obtain approvals: Circulate to legal, HR, or property managers for review.
  • 04
Execute and distribute: Collect signatures, date the document, and provide copies to all parties.

How to Configure an Online Signing Workflow

Set up a simple digital workflow that enforces signing order and captures audit details for enforceability.

Field Configuration
Authentication Email link plus optional SMS code for added signer verification
Template Save the addendum as a reusable template for future COVID-related amendments
Conditional fields Show mitigation fields only when a checkbox for 'mitigation required' is selected
Signing order Specify sequential or parallel signing to match internal approval needs

Technical and Platform Considerations

Choose a signing platform that supports audit trails, standard file formats, and the authentication level you require for this agreement.

  • File formats: PDF or DOCX recommended for preservation
  • Integrations: Connectors for CRM or cloud storage help distribution
  • Access controls: Role-based access limits who edits templates

Ensure the platform stores a tamper-evident copy with timestamps and signer attribution; keep a clear document retention policy, and confirm the vendor supports eSign laws (ESIGN/UETA) and any required industry compliance.

Where to Send and How to Route the Completed Addendum

A reliable routing pattern reduces delays and creates an auditable trail for future disputes or regulatory review.

  • Upload to platform: Attach the addendum to the original contract record
  • Send to signers: Email or secure link with required authentication
  • Collect signatures: Capture timestamps and IP addresses in the audit log
  • Distribute copies: Provide signed PDFs to all parties and retain originals

Typical Timing and Response Windows

Define clear deadlines in the addendum so parties know when temporary rules begin, when notices must be made, and how long measures remain in effect.

Effective date:

Date the addendum takes effect (MM/DD/YYYY)

Response period:

Set a deadline for acknowledging or disputing a COVID event, commonly 5–14 days

Review window:

Specify periodic review frequency, for example every 30 or 60 days

Record retention note:

State how long signed addenda and supporting records will be kept

Termination notice:

Specify notice period required to end the temporary measures

Legal Risks and Potential Consequences

Breach liability: Contract damages or specific performance
Regulatory fines: Fines for violating health or workplace rules
Tax consequences: Incorrect payments may trigger reporting issues
HIPAA exposure: Improper handling of health data risks HIPAA sanctions
Termination risk: Counterparty may elect contract termination
Indemnity obligations: Indemnities in the addendum may shift financial risk

Common Mistakes to Avoid When Preparing the Addendum

  • Using vague trigger language that fails to identify objective conditions for excused performance or mitigation requirements.
  • Omitting the original agreement reference, which can create ambiguity about which contract terms remain unchanged.
  • Failing to specify who pays for testing, PPE, or sanitation, leading to disputes over unexpected costs.
  • Allowing unsigned or improperly authorized signatories to execute the addendum without clear delegated authority.

Practical Examples of How an Addendum Is Used

Two brief scenarios illustrate typical drafting choices and operational effects when a COVID addendum is applied.

Lease Adjustment Example

A landlord and tenant add a three-month rent deferral provision tied to government-ordered closure

  • deferral limited to declared closures
  • the addendum sets repayment terms and requires tenant notice within five days of closure and documented proof of closure.

Employer Policy Change

An employer amends an employee handbook to add paid leave for COVID isolation

  • leave available for confirmed cases only
  • the addendum specifies documentation (test result), payment formula, and return-to-work clearance requirements.
