What the Miscellaneous Disclosure & Declaration Is

A Miscellaneous Disclosure & Declaration is a short, multipurpose legal statement used to record facts, disclosures, or attestations that do not fit a single standardized form. It typically lists material facts, relationships, prior claims, or exceptions and includes a signed declaration that the information is true. Organizations attach it to transactions, contracts, filings, or personnel records when a tailored disclosure is required. The document clarifies obligations, documents known issues, and creates an auditable record that can be retained with related files for regulatory or business purposes.

Why this Disclosure Matters for Transactions and Records

Using a clear Miscellaneous Disclosure & Declaration reduces ambiguity about material facts, creates a dated record of statements, and supports compliance with industry or regulatory requirements. It helps counterparties assess risk and preserves evidence of disclosure if disputes arise or audits occur.

Why this Disclosure Matters for Transactions and Records

Who Typically Prepares and Signs These Declarations

The document is used by a range of professionals who need a concise attestation or disclosure tied to a transaction, regulatory filing, or personnel record.

  • Real estate agents and brokers who need to record property disclosures or exception details for transactions.
  • Healthcare administrators and providers when documenting patient-related disclosures or administrative statements.
  • Legal and compliance teams creating tailored attestations for contracts, settlements, or regulatory correspondence.

Depending on context, the preparer may be an attorney, HR officer, creditor, property manager, or an individual party; the signer should have authority to attest to the listed facts.

Essential Sections to Include in a Professional Disclosure

A well-structured Miscellaneous Disclosure & Declaration groups information so reviewers can verify who stated what and when; it also clarifies attachments and signature requirements.

Title and Parties

State the document title, identify each party by full legal name and role, and include business entity type where applicable to avoid ambiguity.

Effective Date

Provide the precise effective or execution date in MM/DD/YYYY format; this governs when statements take effect and can affect limitations or survivability clauses.

Disclosure Items

Numbered, itemized statements that describe facts, exceptions, prior claims, or other material information in concise, objective language.

Declaration Language

A short attestation that the signer swears or affirms the truth of the listed items under penalty of perjury or as required by the transaction.

Attachments

A list of supporting documents (exhibits, photos, invoices) referenced by item number to ensure the disclosure is verifiable and complete.

Signature Block

Clearly labeled signature, printed name, title (if signing for an entity), date, and any required witness or notary lines per jurisdiction.

Required Information and Core Fields

Full Legal Name: As on government ID
Role or Title: Individual or corporate title
Effective Date: MM/DD/YYYY format
Disclosure List: Numbered factual items
