This General Business Agreement (the "Agreement") is entered into as of Effective Date: by and between Service Provider Name: and Client Name: .

RECITALS

WHEREAS, Service Provider is in the business of providing the services described below and represents that it has the requisite expertise, personnel and resources to perform such services in a competent and professional manner; and

WHEREAS, Client desires to engage Service Provider to perform certain services on the terms and conditions set forth in this Agreement, and Service Provider agrees to perform those services pursuant to the terms herein.

SCOPE OF WORK

Service Provider shall perform the services and deliver the deliverables described below. The scope may be amended only by a written change order signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for Services performed under this Agreement. All sums are payable in lawful currency.

Unless otherwise specified, Service Provider may suspend performance if invoices remain unpaid for more than days after the invoice due date. All collection costs, including reasonable attorneys' fees, shall be payable by the defaulting party.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as set forth below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for days following written notice of such breach.

Upon termination, Client shall pay Service Provider for all Services performed and expenses incurred through the effective date of termination. Service Provider shall deliver any work in progress and reasonable documentation necessary for Client to continue the work.

CONFIDENTIALITY

Each party (the "Recipient") will hold in strict confidence Confidential Information disclosed by the other party (the "Discloser") and will not disclose such Confidential Information to any third party without the Discloser's prior written consent. "Confidential Information" includes non-public commercial, technical, financial, and business information, whether disclosed orally, in writing, or by inspection. Confidential Information does not include information that: (a) is publicly known through no breach by Recipient; (b) was rightfully known by Recipient prior to disclosure; (c) is rightfully obtained by Recipient from a third party without confidentiality obligations; or (d) is independently developed by Recipient without reference to the Discloser's Confidential Information.

Recipient shall use Confidential Information solely for the performance of this Agreement and shall take commercially reasonable measures to protect Confidential Information from unauthorized use or disclosure. Upon termination or at Discloser's request, Recipient shall return or destroy Confidential Information and certify in writing that it has done so.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth below or to such other address as either party may designate by notice to the other.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in interest. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship.
