RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain professional services described herein and Service Provider represents it has the qualifications, experience and ability to perform such services in accordance with the terms of this Agreement.

SCOPE OF WORK

PAYMENT TERMS

Client agrees to pay Service Provider the fees set forth below in exchange for the services rendered pursuant to this Agreement. All sums are in U.S. dollars unless otherwise stated.

Invoices shall be submitted to Client in accordance with the Payment Schedule and Client shall remit payment within days of receipt of a properly documented invoice. Late payments shall accrue interest at the rate of per month (or the maximum rate permitted by law, if less) on the outstanding balance. Client shall also be responsible for reasonable collection costs, including attorney fees.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective termination date. Either party may also terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice of such breach, or if the other party becomes insolvent or seeks protection under bankruptcy laws.

Upon termination, Service Provider shall deliver all completed work and any work in progress and Client shall pay Service Provider for all services performed up to the effective date of termination, calculated pro rata where applicable.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that, in connection with this Agreement, it may receive Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means non-public business, technical, financial and other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (a) hold Confidential Information in confidence with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted by this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets which shall be protected as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Exclusive jurisdiction and venue for any dispute arising out of or relating to this Agreement shall be the state or federal courts located within that state.

MISCELLANEOUS

Independent Contractor: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee, joint venture, agency or partnership relationship.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all of its assets, or change of control provided the assignee assumes all obligations hereunder.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written communications, proposals and representations relating to such subject matter. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
