MISCELLANEOUS EXTERIOR SUBCONTRACT AGREEMENT

This Miscellaneous Exterior Subcontract Agreement ("Agreement") is entered into as of by and between Contractor Name: and Subcontractor Name: .

RECITALS

WHEREAS, Contractor is the prime contractor for certain exterior construction, repair and finishing work at the project location described below; and

WHEREAS, Subcontractor represents that it is qualified, experienced and properly licensed to perform miscellaneous exterior work and desires to perform such work on the terms and conditions set forth herein; and

WHEREAS, Contractor desires to retain Subcontractor, and Subcontractor agrees to perform, the scope of exterior work described in this Agreement.

PROJECT IDENTIFICATION

SCOPE OF WORK

Subcontractor shall furnish all labor, materials, equipment and supervision necessary to perform the exterior work described below in a professional and workmanlike manner and in compliance with applicable laws, codes and the Prime Contract requirements to the extent applicable.

PAYMENT TERMS

Contractor shall pay Subcontractor for the performance of the Scope of Work the Contract Price set forth below, subject to additions and deductions for approved changes and allowances.

Subcontractor shall submit invoices in the form and with the substantiation reasonably required by Contractor. Payments shall be due within the number of days specified in the Payment Schedule following Contractor's receipt of a correct invoice and satisfactory progress verification. Contractor may withhold payment for defective work, failure to comply with material submittal requirements, or failure to cure defaults in accordance with the notice provisions of this Agreement.

TERM AND TERMINATION

This Agreement shall commence on and shall remain in effect until completion of the Scope of Work or until , whichever occurs first, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause upon written notice to the other party if the other party fails to cure a material breach within days after receipt of written notice specifying the breach. Contractor may terminate for convenience upon days' written notice; in such event Subcontractor shall be entitled to payment for work performed and reasonable demobilization costs, less setoffs for contractor damages.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other relating to pricing, methods, trade secrets, project specifications, or other proprietary matters. Subcontractor shall maintain Confidential Information in strict confidence, shall not disclose Confidential Information to third parties except to its employees and subcontractors with a need to know who are bound by substantially similar confidentiality obligations, and shall use Confidential Information solely for performance of the Scope of Work.

Confidentiality obligations do not apply to information that (a) is or becomes publicly known through no breach by the receiving party, (b) is rightfully received from a third party free of restriction, or (c) is independently developed without use of Confidential Information. The parties acknowledge that monetary damages may be inadequate to remedy a breach and agree that injunctive relief is an appropriate remedy in addition to other legal remedies.

INSURANCE AND INDEMNITY (SUMMARY)

Subcontractor shall maintain insurance customary for exterior construction operations, including commercial general liability, workers' compensation, and automobile liability, in amounts sufficient to protect Contractor from claims arising out of Subcontractor's performance. Subcontractor shall indemnify, defend and hold Contractor harmless from liabilities, claims, losses, damages and expenses (including reasonable attorneys' fees) arising out of Subcontractor's acts, omissions or breach of this Agreement, except to the extent caused by Contractor's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Venue for any litigation arising from this Agreement shall be the state or federal courts located in the same state.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments, and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, negotiations and representations. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors; nothing in this Agreement creates a partnership, joint venture, or employment relationship.
