MISCELLANEOUS FCIR DOCUMENT

Parties and Effective Date

This General Business Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client requires certain consulting, advisory, and related services in connection with financial compliance, reporting, and internal review functions (collectively, the Services); and

WHEREAS, Service Provider possesses the necessary expertise, resources, and personnel to perform the Services and is willing to provide such Services to Client under the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the Services and payment therefor.

Scope of Work

Service Provider shall perform the Services described below. The Parties acknowledge that the description below constitutes the entire scope unless amended in writing and signed by both Parties.

Payment Terms

In consideration for the Services rendered, Client shall pay Service Provider in accordance with the terms set forth below.

If Client fails to pay any undisputed amount when due, Client shall be responsible for a late fee equal to % per month on the overdue balance, or the maximum amount permitted by applicable law, whichever is less. Fees shall accrue daily from the date due until paid in full.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Section, shall continue until .

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered at least days prior to the effective termination date. Either Party may terminate for cause upon written notice if the other Party materially breaches any obligation and fails to cure such breach within thirty (30) days following receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver to Client all completed work products and such work in progress as Client may reasonably request, and Client shall pay Service Provider for Services performed and expenses properly incurred through the effective date of termination.

Confidentiality

"Confidential Information" means any nonpublic information disclosed by one Party (Disclosing Party) to the other Party (Receiving Party) that is marked or reasonably understood to be confidential, including without limitation financial data, reports, analyses, trade secrets, and client information. Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to employees and contractors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (iii) take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential Information shall not include information that is or becomes publicly known through no act or omission of Receiving Party, is lawfully received from a third party without restriction, or is independently developed without use of the Disclosing Party's Confidential Information. If Receiving Party is required by law or valid order to disclose Confidential Information, Receiving Party shall provide prompt written notice to Disclosing Party and cooperate to seek a protective order or other appropriate remedy.

A breach of this Confidentiality provision would cause irreparable harm for which monetary damages may be inadequate; accordingly, Disclosing Party shall be entitled to equitable relief in addition to any other remedies available at law or in equity.

Representations; Indemnity

Each Party represents that it has full power and authority to enter into and perform this Agreement. Service Provider shall perform the Services in a professional and workmanlike manner in accordance with industry standards. Service Provider shall defend, indemnify and hold harmless Client from and against any third-party claims arising out of Service Provider's gross negligence or willful misconduct in the performance of the Services, subject to the limitations set forth in this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Except as otherwise provided herein, the Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for the resolution of any disputes arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement, including any exhibits and schedules attached hereto and any written amendments executed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both Parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by reputable overnight courier to the addresses set forth above or to such other address as a Party may designate by notice to the other Party.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign or delegate this Agreement or any rights hereunder without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a sale of substantially all of its assets or a merger, provided that the assignee assumes the assigning Party's obligations hereunder.

The Parties acknowledge that they have had an opportunity to review this Agreement with legal counsel and that any rule of construction providing that ambiguities are resolved against the drafting Party shall not apply.
