MISCELLANEOUS FIREPLACE SERVICES AGREEMENT

This Fireplace Services Agreement (the "Agreement") is entered into by and between:

RECITALS

WHEREAS, Client desires to obtain certain fireplace-related services including but not limited to inspection, cleaning, repair, modification, or installation of fireplace appliances and components; and

WHEREAS, Contractor represents that it is duly qualified and experienced in performing fireplace services in accordance with applicable building and fire safety codes and agrees to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the fireplace services to be provided.

SCOPE OF WORK

Services may include testing of flue integrity, inspection of hearth and chimney, replacement of gaskets or glass, installation of new fireplace unit or gas/log components, and final operational testing. Any changes to the Scope of Work must be documented in a written change order signed by both parties.

PAYMENT TERMS

All payments shall be made in lawful currency. Client shall pay undisputed amounts in full by the due date. If Client fails to pay any undisputed amount when due, Contractor may suspend services after giving seven (7) days' written notice. Contractor may recover collection costs, including reasonable attorneys' fees, for any past-due amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the required notice set forth above. In addition, either party may terminate for material breach if the breaching party fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach. Upon termination, Client will pay Contractor for all work performed and materials acquired up to the effective date of termination, plus any reasonable demobilization costs.

PERMITS, COMPLIANCE, AND SAFETY

Contractor shall obtain required permits and perform work in compliance with applicable building, fire, and gas codes. Contractor's warranty does not cover pre-existing defects, concealed conditions, or noncompliant work performed by third parties. Client shall provide safe access to the work area and shall notify Contractor of known hazards, including but not limited to asbestos, lead, or other environmental hazards.

CONFIDENTIALITY

Each party shall keep confidential all proprietary or non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations under this Agreement. This obligation does not apply to information that is publicly available, independently developed without reference to confidential information, rightfully received from a third party, or required to be disclosed by law or court order.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain insurance customary for fireplace services, including general liability and workers' compensation where required by law. Contractor shall indemnify and hold Client harmless from claims arising from Contractor's negligent acts or omissions to the extent caused by Contractor. Client shall indemnify Contractor for liability arising from Client's failure to disclose hazards or from alterations made by others.

LIMITATION OF LIABILITY

Except for claims arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages. Contractor's aggregate liability for any claim arising out of this Agreement shall not exceed the total amounts paid by Client to Contractor under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment to this Agreement shall be effective unless in writing and signed by both parties.
