CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (i) hold the other party's Confidential Information in strict confidence, (ii) use such Confidential Information solely to perform its obligations or exercise its rights under this Agreement, and (iii) not disclose such Confidential Information to any third party except to employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. These obligations shall continue for a period of years following termination or expiration of this Agreement, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law rules. The parties agree that exclusive venue for any dispute arising out of or relating to this Agreement shall be in the state or federal courts located within that State.

MISCELLANEOUS PROVISIONS

Independent Contractor: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, partnership or agency relationship between the parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
