What a Miscellaneous In-Kind Agreement Covers

A Miscellaneous In-Kind Agreement documents a noncash contribution of goods, services, equipment, or other tangible items exchanged between parties without monetary payment. It records the donor and recipient, a clear description of the donated item(s), the agreed value or valuation method, any restrictions or conditions, delivery and acceptance terms, and signatures from authorized representatives. The agreement establishes expectations for use, liability, warranty disclaimers, and tax acknowledgements that both parties may rely on for internal controls, audit trails, and donor substantiation.

Why documenting in-kind contributions matters

A written agreement provides legal clarity, supports tax substantiation, protects both parties against disputes, and records restrictions or continuing obligations tied to the donation.

Why documenting in-kind contributions matters

Who typically completes this agreement

Organizations and individuals who give or receive noncash contributions use this agreement to create a clear, auditable record.

  • Nonprofit development teams tracking donor gifts for substantiation and reporting.
  • Business procurement or grants staff accepting product or service donations for programs.
  • Individual donors or volunteers documenting a one-time or recurring noncash contribution.

Keep an executed copy for accounting, tax, and compliance records; provide donors any IRS-required acknowledgement for deductible gifts.

Core elements to include in a professional agreement

A comprehensive Miscellaneous In-Kind Agreement should clearly identify parties, describe the item or service, set valuation, define delivery and acceptance terms, allocate risk and warranties, and include signatures with dates.

Typical routing from draft to archive

  • Place Fields: Add signature, date, and attachment fields.
  • Send to Signer: Signer receives link or email invitation.
  • Archive: Store executed copy with audit trail.

Digital signing and eSubmission considerations

Ensure the chosen platform supports strong authentication, an auditable completion certificate, and secure storage for donor records.

  • Authentication: Email, SMS, or KBA options.
  • Audit Trail: Timestamp, IP, action log.
  • File Formats: PDF/DOCX support required.

Key risks and potential consequences

Tax Disallowance: Donor deduction denied
Incorrect Valuation: IRS penalties possible
Missing Signatures: Agreement may be unenforceable
Restricted Use Violation: Donor reclamation risk
Data Exposure: HIPAA or privacy risk
Recordkeeping Gaps: Audit failure or penalties

Common preparation errors to avoid

  • Using vague item descriptions that prevent clear acceptance testing or valuation and invite disputes.
  • Failing to document who bears shipping, insurance, or storage costs during transit and delivery.
  • Omitting donor restrictions or reversion clauses when gifts are conditional or require specific use.
  • Not obtaining required appraisals or attaching sufficient supporting documentation for high-value donations.

Timing considerations and typical deadlines

While many in-kind agreements have no statutory filing deadline, tie execution and substantiation to tax and program timelines.

Execution Date:

Sign before transfer of title or delivery.

Tax Substantiation:

Donor should obtain acknowledgment before filing tax return.

Appraisal Timing:

Complete any required appraisal contemporaneous with donation.

Internal Approval:

Allow time for organizational review and sign-off.

Record Retention Start:

Retention begins on execution or delivery date.

Practical tips for accurate, defensible agreements

Follow these practices to reduce risk, support audits, and make administration straightforward.

Be Specific and Itemize
List each donated item with serial numbers, condition notes, and quantities. Itemized descriptions simplify acceptance testing, valuation, and insurance coverage decisions and reduce later classification disputes during audits.
Document Valuation Method
Record how the value was determined—appraisal, retail price, or cost replacement—and retain supporting materials. Clear valuation documentation reduces the likelihood of IRS questioning or donor deduction challenges.
Assign Responsibilities
Clarify who handles transport, insurance, storage, and installation. Assigning operational responsibilities up front avoids cost-shifting disputes and helps with budgeting and calendar planning.
Preserve Supporting Records
Attach invoices, photos, appraisals, and donor correspondence to the agreement and store them securely for the full retention period required by tax and industry rules.
