MISCELLANEOUS INDEMNITY AGREEMENT

This Miscellaneous Indemnity Agreement (the "Agreement") is made effective as of by and between the parties identified below.

Parties

Recitals (Whereas)

WHEREAS, Indemnitor is engaged to perform certain services or to provide certain goods described in this Agreement, and Indemnitee will rely upon or accept such services or goods; and

WHEREAS, as a material inducement to Indemnitee to enter into the transaction and to accept the services or goods, Indemnitor has agreed to assume specified liabilities and to indemnify and defend Indemnitee as set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding indemnification, payment, confidentiality and other matters in this Agreement.

Scope of Work

Indemnitor shall perform the following services or provide the following goods (collectively, the "Services"):

Indemnification

Indemnitor agrees to indemnify, defend and hold harmless Indemnitee and its affiliates, and their respective officers, directors, employees and agents (collectively, the "Indemnified Parties"), from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees and costs of investigation and litigation) (collectively, "Losses") arising out of or resulting from:

(a) any claim, demand or action by a third party to the extent resulting from Indemnitor's negligent acts, omissions, breaches of this Agreement, or failure to perform the Services in accordance with applicable law; and

(b) any breach by Indemnitor of any representation, warranty or covenant contained in this Agreement.

Indemnitor's obligations to defend and indemnify shall not apply to the extent that any Losses arise solely from the gross negligence or willful misconduct of Indemnitee, as adjudicated by a final judgment of a court of competent jurisdiction. Indemnitor shall not settle any claim that imposes any financial or other obligation on Indemnitee or admits fault on the part of Indemnitee without Indemnitee's prior written consent, which consent shall not be unreasonably withheld.

Notice and Defense of Claims

Indemnitee shall promptly notify Indemnitor in writing of any claim for which indemnity is sought. Failure to provide prompt notice shall not relieve Indemnitor of its obligations except to the extent Indemnitor is materially prejudiced by the delay. Indemnitor shall assume the defense of such claim with counsel reasonably acceptable to Indemnitee; provided, however, Indemnitee may, at its option and expense, participate in the defense with counsel of its choice.

Insurance

Indemnitor shall maintain, at its expense, insurance coverage sufficient to cover its obligations under this Agreement, including commercial general liability and professional liability as applicable. Upon request, Indemnitor shall provide certificates of insurance reasonably evidencing such coverage.

Payment Terms

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured after written notice and the expiration of the notice period specified above. Termination shall not relieve any party of obligations accrued prior to termination, including indemnification obligations.

Confidentiality

Each party shall hold in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use or disclose such information except as required to perform its obligations hereunder or as required by law. Confidentiality obligations shall survive termination of this Agreement for years.

Survival

The provisions of this Agreement that by their nature should survive termination or expiration of this Agreement (including, but not limited to, indemnification, confidentiality, payment obligations and governing law) shall survive for years following termination or such longer period as required by applicable law.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, or Indemnitor's obligations under the indemnification provisions of this Agreement, neither party shall be liable to the other for special, incidental, consequential or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

Miscellaneous

Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

What a Miscellaneous Indemnity Agreement Covers

A Miscellaneous Indemnity Agreement is a contract in which one party (the indemnitor) agrees to defend, indemnify, and hold harmless another party (the indemnitee) against specified claims, losses, liabilities, and costs. These agreements allocate risk for third-party claims, regulatory fines, legal expenses, and contract breaches across a range of commercial relationships. Well-drafted indemnities identify covered claim types, notice and defense procedures, insurance obligations, exclusions, and any monetary caps. Ambiguous scope or missing procedural steps can create enforceability issues and unexpected exposure under state law.

Why a Clear Indemnity Clause Matters

A precise Miscellaneous Indemnity Agreement reduces uncertainty about who pays for third-party claims, sets defense and settlement rules, clarifies insurance coordination, and limits litigation risk by establishing notice and mitigation duties.

Why a Clear Indemnity Clause Matters

Who Typically Drafts and Signs These Agreements

Typical users and parties involved in Miscellaneous Indemnity Agreements include in-house counsel, procurement teams, insurers, and contract managers across multiple sectors.

  • In-house counsel and risk managers who draft and negotiate indemnity language during contract formation and renewal processes.
  • Vendors, suppliers, and service providers accepting allocation of third-party claims tied to product defects, services, or site operations.
  • Landlords, tenants, and property managers using indemnities in leases to allocate property-related liabilities and defense obligations.

Confirm authorization and insurance coverage before signature to reduce disputes and ensure the indemnity's practical enforceability.

Core Elements to Include in a Professional Indemnity Agreement

A enforceable indemnity identifies parties, defines covered claims, sets defense procedures, lists exclusions, establishes monetary limits, and specifies notice and insurance requirements.

Parties

Identify indemnitor and indemnitee using full legal entity names, entity types, and addresses. Consistent naming prevents ambiguity and ensures the correct party is held to obligations and insurance claims can be matched.

Scope

Define covered claims with specific triggers (third-party bodily injury, property damage, contractual breach). Narrow, factual triggers limit exposure compared with open-ended language that may be interpreted broadly.

Defense Rights

Specify whether the indemnitor controls defense, whether the indemnitee may participate with counsel, and settlement consent rules. These terms determine litigation strategy and allocation of defense costs.

Exclusions

List explicit exclusions such as gross negligence, willful misconduct, fraud, or certain IP claims. Clear exclusions reduce insurer disputes and clarify which losses remain the indemnitee's responsibility.

Limits

State monetary caps, baskets, or thresholds and whether consequential damages are excluded. Align caps with available insurance limits to avoid uninsured exposure.

Notice & Procedure

Require prompt written notice of claims, set timelines for response, preserve the indemnitor's right to assume defense, and include remedies for failure to notify or mitigate.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Access Controls: Role-based access and two-factor options
Audit Trail: Immutable timestamped logs and IP addresses
HIPAA BAA: Business Associate Agreement available on request
Storage: Encrypted backups and secure key management
Certifications: SOC 2 Type II, ISO 27001, PCI DSS

Primary Risks of a Poorly Drafted Indemnity

Contract liability: Uncapped damages exposure
Insurance gaps: Claims outside policy coverage
Enforceability: Ambiguous terms risk invalidation
Late notice: Waives defense or indemnity rights
Statutory limits: State law may cap obligations
Litigation costs: High defense and settlement expenses

Common Drafting and Execution Mistakes

  • Using broad phrases like 'all claims' without defining triggers leaves scope ambiguous and increases litigation risk and insurer resistance.
  • Failing to require prompt written notice or to specify notice methods can void indemnity or shift costs to the indemnitee.
  • Omitting defense control and settlement consent provisions typically leads to disputes over litigation strategy and settlement approval.
  • Neglecting to align indemnity caps with available insurance limits creates uninsured exposure and unexpected financial liability.
