RECITALS

WHEREAS, Client desires to retain Service Provider to perform certain wire-related services and Provider is willing to perform such services under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described above (the "Services") in accordance with the schedule and instructions supplied by Client. Provider shall exercise commercially reasonable care and follow customary industry practices in executing wire transfers and related administrative tasks. Any material deviation from Client instructions must be approved in writing by Client prior to execution.

PAYMENT TERMS

All amounts payable under this Agreement are exclusive of any applicable taxes. Unless otherwise agreed, payments are payable by wire transfer to the bank account specified below. Provider may suspend performance if Client fails to pay any undisputed amount within fifteen (15) days after written notice of non-payment.

WIRE INSTRUCTIONS

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party that remains uncured thirty (30) days after written notice specifying the nature of the breach. Upon termination, Client will pay Provider for all Services performed and reasonable charges incurred up to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. Each party shall (a) maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or professional advisors with a need to know who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information shall not include information that (i) is or becomes generally known to the public without breach of this Agreement; (ii) was in a party's possession prior to receipt from the disclosing party; (iii) is received rightfully from a third party without restriction; or (iv) is independently developed without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of Governing Law: without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising under this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or waiver must be in writing and signed by both parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or successor in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations under this Agreement.

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates an employer-employee, partnership, joint venture or agency relationship.

NOTICES

All notices, requests, consents, claims, demands and other communications hereunder shall be in writing and delivered to the respective addresses set forth above.
