The following items form part of the subject matter of this Agreement. Quantities, unit prices, and totals are subject to adjustment only by written amendment signed by both parties.

Payment Terms

Client agrees to pay Provider the total amount described in this Agreement in accordance with the schedule below. Unless otherwise specified in a written amendment signed by both parties, invoices are due in cleared funds within Payment Due Days: calendar days of invoice receipt.

Late payments shall accrue a late fee of on the outstanding balance, and interest at the lesser of the maximum allowed by law or .

Term and Termination

This Agreement shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than calendar days prior to the intended termination date. Termination for cause may be effected immediately upon material breach if the breaching party fails to cure within fourteen (14) days after receipt of written notice specifying the breach.

Confidentiality

Each party shall keep confidential and not disclose to any third party any Confidential Information received from the other party. Confidential Information includes non-public business, technical, financial, pricing, customer, and proprietary information disclosed in written, electronic, or oral form that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall use Confidential Information only for the performance of this Agreement and shall protect it with at least the same degree of care that it uses to protect its own confidential information, but in no event less than a reasonable standard of care. This obligation shall survive termination for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for any dispute arising out of or relating to this Agreement shall be the state or federal courts located in that State unless the parties agree otherwise in writing.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into and perform this Agreement, that performance will not violate any applicable law or contractual obligation, and that the items delivered will, at the time of delivery, materially conform to the specifications set forth in the Scope of Work.

Remedies and Limitation of Liability

The parties agree that monetary damages may be inadequate for breaches involving confidentiality or proprietary information, and that injunctive relief may be sought in addition to other remedies. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, punitive, or special damages, and total aggregate liability shall not exceed the amounts paid under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Notices

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail (return receipt requested). Notices shall be effective upon receipt.

Entire Agreement

This Agreement, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. No modification or waiver shall be effective unless in writing and signed by both parties.
