RECITALS

PAYMENT TERMS

Invoicing and Payment Terms: Contractor shall submit invoices to Client in accordance with the payment schedule. Unless otherwise agreed in writing, Client shall pay all undisputed invoices within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of or the maximum rate permitted by applicable law, whichever is less. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

Reimbursable Expenses: Contractor will be reimbursed for pre-approved out-of-pocket expenses which are reasonable and customary. Pre-approval must be obtained in writing. Check applicable reimbursement authority for Contractor:

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon written notice of days to the other party. Termination shall not relieve the Client of its obligation to pay for services performed and expenses incurred up to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligation: Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted herein, and (c) use Confidential Information solely for the performance or enforcement of this Agreement. The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care.

Exceptions: Confidential Information shall not include information which (i) is or becomes publicly available through no fault of the receiving party, (ii) is rightfully received from a third party without confidentiality obligation, (iii) was in the receiving party's possession prior to disclosure, or (iv) is independently developed without use of Confidential Information.

Survival: The confidentiality obligations of the parties shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

INSURANCE; INDEPENDENT CONTRACTOR

Independent Contractor: Contractor is an independent contractor and not an employee, agent or partner of Client. Contractor shall be responsible for payment of all federal, state and local taxes arising from compensation paid under this Agreement and for maintaining any workers' compensation and other insurance required by law.

Insurance: Contractor shall maintain general liability and professional liability insurance in amounts customary for Contractor's industry and shall provide certificates upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to choice-of-law principles. Jurisdiction for any dispute arising out of this Agreement shall lie in the state or federal courts located in Massachusetts.

MISCELLANEOUS PROVISIONS

Entire Agreement: This Agreement, including any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.

Amendment: Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be unenforceable, the remainder of this Agreement shall remain in full force and effect and the parties shall negotiate in good faith a substitute provision that effects the parties' intent.

Each party represents and warrants that it has full power and authority to enter into and perform this Agreement; that the execution, delivery and performance of this Agreement has been duly authorized; and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.
