RECITALS

WHEREAS, Client engages in business activities requiring the services described herein and desires to retain Contractor to perform such services on the terms set forth in this Agreement; and

WHEREAS, Contractor represents that it has the expertise, personnel, and capacity to perform the work described in this Agreement and is willing to perform such work for Client under the terms set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, compensation, confidentiality, and other matters relating to the services to be provided.

SCOPE OF WORK

Contractor shall perform the services, deliverables, and responsibilities described below. Services shall be performed in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client shall pay Contractor for services rendered as set forth below. All fees are payable in United States dollars unless otherwise agreed in writing.

Invoices shall be issued in accordance with the Payment Schedule. Client shall pay undisputed invoices within the number of days specified in the Payment Schedule. Disputed portions of an invoice shall be promptly notified in writing and the undisputed portion is due per the payment terms.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and, unless earlier terminated in accordance with this Section, shall continue until End Date: .

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within the notice period specified above. Termination for convenience by Client requires thirty (30) days' prior written notice and payment for all work performed through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means any non-public business, technical, financial or other information disclosed by one party to the other in written, oral or electronic form that is identified as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information only for performance of this Agreement; and (c) not disclose Confidential Information to third parties except to those employees, contractors or professional advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

Confidentiality obligations do not apply to information that: (i) is or becomes generally available to the public through no breach of this Agreement; (ii) was in the receiving party’s possession prior to disclosure; (iii) is received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party’s Confidential Information. Notwithstanding the foregoing, either party may disclose Confidential Information as required by law or court order, provided it gives prompt written notice to the other party to seek protective measures.

ADDITIONAL PROVISIONS

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party’s gross negligence, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for liability arising from breach of confidentiality, willful misconduct, or indemnification obligations, neither party shall be liable for consequential, incidental, special, or punitive damages. The parties' aggregate liability for claims arising under this Agreement shall not exceed the total fees paid by Client to Contractor under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement: This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
