Recitals

WHEREAS, Client desires to engage Service Provider to perform certain services related to laminar design, integration, or related consulting (the "Services") described herein; and

WHEREAS, Service Provider represents that it has the experience, personnel, equipment and qualifications to perform the Services in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform the Services for Client effective as of the Effective Date below.

Scope of Work

Service Provider shall perform the Services described below. The Services shall include all labor, expertise, materials and deliverables expressly set forth in this Scope of Work. Any changes to this Scope of Work must be documented in a written amendment signed by both parties.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for the Services. Fees are exclusive of any taxes unless otherwise stated.

Unpaid amounts shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by applicable law. In addition, Client shall reimburse Service Provider for reasonable collection costs, including attorney fees, for overdue invoices.

Term and Termination

This Agreement shall commence on the Start Date below and continue until the End Date below unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other, whether written, oral or electronic, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is rightfully received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of Confidential Information.

Each party shall (i) not use the other party's Confidential Information except as necessary to perform its obligations under this Agreement, and (ii) protect such Confidential Information from unauthorized disclosure with at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care. The obligations of confidentiality shall survive termination of this Agreement for a period of years, except that trade secrets shall be protected indefinitely.

Representations and Warranties; Disclaimer

Each party represents that it has the full power and authority to enter into this Agreement. Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Liability and Indemnification

To the maximum extent permitted by law, each party shall indemnify, defend and hold harmless the other party from any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct. Neither party shall be liable to the other for incidental, consequential, punitive or special damages arising out of this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or a nationally recognized overnight courier service, and shall be deemed given upon receipt.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement (including any exhibits, schedules and attachments) constitutes the entire agreement between the parties and supersedes all prior agreements, understandings and negotiations, whether written or oral, relating to its subject matter. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
