MISCELLANEOUS LEASE AGREEMENT

RECITALS

Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information except to employees, agents, or contractors who need to know and who are subject to confidentiality obligations; and (c) not use Confidential Information except to perform obligations or exercise rights under this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

INSURANCE, INDEMNITY, AND MAINTENANCE

Insurance: Lessee shall obtain and maintain, at Lessee's expense, commercial general liability insurance with limits reasonably acceptable to Lessor and naming Lessor as additional insured where applicable. Evidence of insurance shall be provided to Lessor upon request.

Indemnity: Lessee shall indemnify, defend, and hold harmless Lessor and its agents from and against any claims, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

Maintenance and Repairs: Lessee shall keep the Premises in good order and condition and shall promptly make all routine maintenance and repairs attributable to Lessee's use. Lessor shall be responsible for structural repairs unless damage arises from Lessee's misuse or negligence.

ASSIGNMENT AND SUBLETTING

Lessee shall not assign this Agreement or sublet the Premises, in whole or in part, without the prior written consent of Lessor, which consent shall not be unreasonably withheld. Any assignment or subletting without required consent shall be void and constitute a material breach.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles. The parties agree that any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

ENTIRE AGREEMENT; AMENDMENT
