WHEREAS, Lessor and Lessee are parties to that certain lease or related occupancy agreement identified below and desire to document additional terms and confirmations regarding the Premises and related services;

WHEREAS, Lessor represents that it has authority to bind the owner of the Premises and Lessee desires to accept the Premises subject to the terms set forth in this Execution Sheet;

WHEREAS, the parties intend this Execution Sheet to supplement and be incorporated into the Lease Agreement as provided below.

LEASE INFORMATION

SCOPE OF WORK

The parties agree that the following scope of work, responsibilities and deliverables shall apply to the Premises during the term set forth below. All work will be performed in a good and workmanlike manner and in compliance with applicable law.

PAYMENT TERMS

If any payment due hereunder is not received within days after its due date, Lessee shall pay interest and fees as specified above. Interest on overdue sums shall be calculated from the date due until paid.

TERM AND TERMINATION

The term of this Execution Sheet shall commence on and shall expire on , unless earlier terminated in accordance with this Execution Sheet or the Lease.

Either party may terminate this Execution Sheet for convenience upon providing days' prior written notice to the other party. Termination for cause shall follow the notice and cure procedures set forth in the Lease; where not specified in the Lease, the breaching party shall have days to cure after receipt of written notice.

CONFIDENTIALITY

Each party acknowledges that, during the term of this Execution Sheet, it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, technical or other information disclosed in oral, written or electronic form. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except to its employees or contractors who have a need to know and who are bound by protections at least as restrictive as those herein; and (c) use Confidential Information only for performance under this Execution Sheet. Confidential Information does not include information that is or becomes generally available to the public other than through the recipient's breach of this obligation, or is rightfully received from a third party without restriction.

GOVERNING LAW

This Execution Sheet shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of state and federal courts located in that state for disputes arising under this Execution Sheet.

ENTIRE AGREEMENT

This Execution Sheet, together with the Lease and any exhibits or addenda referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral. Any modification to this Execution Sheet must be in writing and signed by both parties.

If any provision of this Execution Sheet is held invalid or unenforceable, such provision shall be interpreted to achieve, to the extent possible, its original intent, and the remaining provisions shall remain in full force and effect.
