Either party may terminate this Agreement for material breach if the breach remains uncured for days after written notice. For convenience, either party may terminate upon days' prior written notice to the other party.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is rightfully received from a third party without breach of an obligation of confidentiality; or (c) is independently developed by the receiving party without use of Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose such information except to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Upon termination or written request, the receiving party shall return or securely destroy Confidential Information, except to the extent retention is required by law; if retained, access must remain strictly limited.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against claims, losses and liabilities arising from the indemnifying party's breach of this Agreement, negligent acts or willful misconduct. Except for claims arising from gross negligence, willful misconduct, or infringement of third-party intellectual property rights, neither party shall be liable for consequential, incidental or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments, exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices under this Agreement shall be delivered in writing to the addresses set forth above and shall be effective upon receipt. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or acquisition.
