RECITALS

Invoices shall be issued by Contractor in accordance with the Payment Schedule. Unless otherwise stated in a Purchase Order or invoice, Client shall pay undisputed invoices within days of receipt. Disputes to invoice items must be submitted in writing with supporting documentation within days of the invoice date.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. In addition, either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party may disclose Confidential Information to the other in connection with the performance of this Agreement. "Confidential Information" means non-public information disclosed in any form that a reasonable person would understand to be confidential. Each receiving party shall: (a) hold all Confidential Information in strict confidence and use it solely for the purposes of performing its obligations under this Agreement; (b) restrict disclosure to its employees or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law (provided that the receiving party provides prompt notice where permitted and seeks protective measures).

INSURANCE AND INDEMNIFICATION

Contractor shall maintain sufficient insurance coverage customary for the services performed. Contractor shall indemnify, defend and hold Client harmless from and against any third-party claims, losses or liabilities to the extent resulting from Contractor's negligence or willful misconduct in the performance of the services, subject to applicable law and the limitations set forth in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.
