MISCELLANEOUS LINDSAY'S LAW DOCUMENT

This Agreement is entered into as of by and between Client Name: and Service Provider Name: (each a "Party" and together the "Parties").

RECITALS

WHEREAS, Client requires certain advisory, consulting, and other professional services described herein and desires to engage Service Provider to perform such services on the terms set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the skill, experience, and personnel necessary to provide the services and will perform such services in accordance with industry standards and applicable legal and regulatory requirements; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Service Provider for the services described above in accordance with the terms below. Payments are due in U.S. dollars and are exclusive of applicable taxes unless otherwise stated.

Late payments will accrue interest as provided below and Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach of its obligations by the other Party if the breaching Party fails to cure such breach within the notice period specified above. Service Provider may also suspend services if Client fails to pay undisputed amounts when due.

CONFIDENTIALITY

Each Party acknowledges that it may receive Confidential Information from the other Party. "Confidential Information" means nonpublic information that is designated as confidential or that, by its nature, a reasonable person would understand to be confidential.

Each Party shall: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose it except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information solely to perform obligations under this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no breach of this Agreement, was known to the recipient prior to disclosure, or is independently developed without use of the disclosing Party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to its conflict of laws principles.

MISCELLANEOUS PROVISIONS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by both Parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach.

Assignment: Neither Party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other Party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

CERTIFICATIONS

Each Party certifies that (a) it has the full right, power and authority to enter into and perform this Agreement; (b) the execution and delivery of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary action; and (c) this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms.
