Recitals

WHEREAS, Provider represents that it is the lawful owner or authorized custodian of the Apple MacBook device and associated accessories described below; and

WHEREAS, Recipient desires to receive custody, configuration, lease or purchase of the MacBook for the purposes set forth in the Scope of Work and Provider is willing to provide the MacBook on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

MacBook Description and Condition

Scope of Work

Provider shall deliver, configure, and/or transfer custody of the MacBook described above and shall perform the services or handover tasks set forth below. Recipient shall accept the MacBook and perform any required return, maintenance, or usage obligations as set forth herein.

Payment Terms

If payment is required for the MacBook or the services described herein, the parties agree to the following terms.

Late payment shall incur a fee of per month on any overdue balance, calculated from the date payment was due until paid in full. Provider may suspend delivery, services, or use of the device until overdue amounts are paid.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the intended termination date. Provider may terminate immediately for cause, including but not limited to nonpayment, material breach, or misuse of the device.

Upon termination or expiration, Recipient shall promptly return the MacBook and all accessories in the same condition as received, ordinary wear and tear excepted. Charges for repair or replacement for loss or damage beyond ordinary wear and tear shall be assessed against Recipient.

Confidentiality

The parties acknowledge that during the delivery, configuration, or use of the MacBook, each may have access to Confidential Information of the other party. "Confidential Information" means non-public information disclosed in tangible or intangible form including technical data, device configurations, account credentials, or business information marked or reasonably understood to be confidential.

Each party agrees to (a) hold such Confidential Information in confidence using at least the same degree of care it uses to protect its own similar information but in no event less than reasonable care; (b) not use Confidential Information except as necessary to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or agents bound to similar confidentiality obligations and only on a need-to-know basis.

Exceptions: Confidential Information does not include information that is (i) or becomes publicly available through no fault of the receiving party; (ii) already known by the receiving party at the time of disclosure; (iii) obtained from a third party rightfully and without breach; or (iv) independently developed without reference to the disclosing party's Confidential Information.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive venue of the courts located within that jurisdiction, unless the parties agree otherwise in writing.

Representations; Indemnity

Each party represents that it has the full right, power and authority to enter into and perform this Agreement. Recipient shall indemnify and hold Provider harmless from and against any claims, liabilities or expenses arising from Recipient's misuse of the MacBook or breach of this Agreement, except to the extent caused by Provider's willful misconduct or gross negligence.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon personal delivery, or three (3) business days after deposit with a national courier service.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor-in-interest.
