MISCELLANEOUS MARKER LAYOUT AGREEMENT

This Miscellaneous Marker Layout Agreement ("Agreement") is made and entered into as of by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client requires the design, placement and verification layout for miscellaneous markers (including, but not limited to, boundary markers, identification markers, or directional markers) in connection with the Project described below; and

WHEREAS, Contractor represents that it has the expertise, personnel and equipment necessary to prepare marker layout plans, coordinate field staking, and provide required installation guidance in accordance with industry standards and the specific requirements set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall perform the services described below (collectively, the "Services") in a professional and workmanlike manner consistent with industry standards:

2. PAYMENT TERMS

Client shall pay Contractor the total amount set forth below in accordance with the schedule and conditions described. All amounts are stated in U.S. dollars.

If Client fails to make payments when due, Contractor may suspend Services after providing written notice and a minimum of days to cure. Client remains responsible for all costs incurred and for interest and collection costs if applicable.

3. TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall terminate on the End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

4. CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and not disclose to third parties any non-public technical, commercial, or business information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information"), and shall use Confidential Information only for the purposes of performing obligations under this Agreement. Confidential Information does not include information that: (a) becomes publicly available through no fault of the Receiving Party; (b) was lawfully known to the Receiving Party prior to disclosure; (c) is rightfully disclosed by a third party without restriction; or (d) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to employees, consultants or subcontractors who have a demonstrated need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. The Receiving Party shall be responsible for any breach of this Section by such persons.

5. INSURANCE AND INDEMNIFICATION

Contractor shall maintain insurance customary for the Services to be performed and shall indemnify, defend and hold harmless Client from and against any claims, liabilities, losses or damages arising from Contractor's negligence or willful misconduct in performance of the Services, except to the extent caused by Client's negligence or willful misconduct.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

7. ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

8. MISCELLANEOUS

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
