RECITALS

WHEREAS, Client operates a business engaged in the provision of its services and seeks certain advisory, consulting and operational assistance in connection with the project described below; and

WHEREAS, Contractor represents that it has the necessary expertise, personnel and resources to perform the services and deliverables set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms governing the engagement, payment, confidentiality and other contractual matters relating to the services.

SCOPE OF WORK

Contractor shall perform the services and deliverables described below in a professional and workmanlike manner consistent with industry standards. The parties agree that the Scope of Work may be amended only by written agreement signed by both parties.

PAYMENT TERMS

Client shall pay Contractor the fees and reimbursements described in this section in consideration for the services rendered under this Agreement.

Invoices will be submitted by Contractor and are due within days of invoice receipt. Late payments shall accrue interest at the rate of % per month (or the maximum permitted by law), calculated monthly from the due date until paid.

Reasonable, pre-approved out-of-pocket expenses incurred by Contractor in the performance of services will be reimbursed by Client upon submission of substantiating receipts unless otherwise agreed in writing.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: , and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause upon written notice delivered to the other party no fewer than days prior to the proposed termination date. Either party may terminate immediately for material breach if the breach remains uncured after thirty (30) days following written notice of such breach.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, but is not limited to, business plans, financial information, customer lists, technical data, trade secrets and any information marked or identified as confidential.

The Receiving Party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations no less restrictive than those set forth herein. Confidential Information shall not include information that is or becomes public through no fault of the Receiving Party, is rightfully received from a third party without restriction, is independently developed by the Receiving Party without reference to Confidential Information, or is required to be disclosed by law, provided that the Receiving Party gives prompt written notice and cooperates with reasonable efforts to seek confidential treatment or a protective order.

The confidentiality obligations set forth in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except with respect to trade secrets, for which protection shall continue for so long as the information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all its assets.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from any third-party claims arising out of its negligence, willful misconduct or breach of this Agreement, subject to applicable limitations of liability set forth by law.

ENTIRE AGREEMENT

This Agreement (including any exhibits or attachments executed by the parties) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous discussions, proposals and agreements, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.
