MISCELLANEOUS MDA FORM

This Miscellaneous MDA Form (the "Agreement") is entered into as of between ("Party A") and ("Party B").

RECITALS

WHEREAS, Party A has expertise, facilities and resources related to certain development, manufacturing or advisory services described herein; and

WHEREAS, Party B desires to engage Party A to perform the Scope of Work described below and Party A is willing to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the performance, payment and confidentiality of information exchanged in connection with the services.

PARTIES' IDENTIFICATION

SCOPE OF WORK

Party A shall perform the services, deliverables and milestones described below (the "Services"). Services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Compensation for the Services shall be as set forth below. Unless otherwise agreed in writing, amounts are payable in U.S. dollars and exclusive of taxes for which the paying party is responsible.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date.

Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement. The receiving party shall (i) hold Confidential Information in strict confidence, (ii) use it solely to perform its obligations under this Agreement, and (iii) disclose it only to employees or permitted subcontractors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that is or becomes publicly available without breach, was known to the receiving party prior to disclosure, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

The obligations of confidentiality set forth above shall survive termination of this Agreement for a period of following termination or expiration, except with respect to trade secrets which shall be protected for as long as permitted by law.

REPRESENTATIONS AND WARRANTIES; LIMITATION OF LIABILITY

Each party represents that it has the power and authority to enter into this Agreement and to perform its obligations. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party designates by notice.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to first attempt to resolve disputes in good faith through negotiation for a period of thirty (30) days prior to initiating litigation.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the invalid provision will be reformed only to the extent necessary to make it enforceable. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets, provided that the assignee assumes the assigning party's obligations hereunder.
