MISCELLANEOUS MODIFICATION PACKAGE

This Miscellaneous Modification Package ("Modification") is entered into as of by and between:

Recitals

WHEREAS, Party A and Party B entered into an agreement titled dated (the "Original Agreement");

WHEREAS, the parties desire to modify certain terms of the Original Agreement as set forth in this Modification; and

WHEREAS, except as expressly modified by this Modification, all terms of the Original Agreement remain in full force and effect.

Modifications

The Original Agreement is amended as follows. The following provisions are inserted or revised and, in the event of a conflict between this Modification and the Original Agreement, this Modification shall control as to the specific subject matter amended.

Scope of Work

The parties agree the Scope of Work shall be modified as follows. All tasks, deliverables, and performance standards described below supplement the Original Agreement and are enforceable under its terms.

Payment Terms

Compensation for the modified scope shall be as follows. Unless otherwise specified, payment obligations are subject to the invoicing, verification, and approval procedures of the Original Agreement.

Term and Termination

The modification set forth herein shall commence on and shall expire on Either party may terminate this Modification for convenience upon prior written notice to the other party given at least days in advance. Termination for cause shall be governed by the breach and cure provisions of the Original Agreement, except that any uncured material breach of this Modification shall permit immediate termination by the non-breaching party following written notice.

Confidentiality

For purposes of this Modification, "Confidential Information" means non-public information disclosed by a disclosing party to the receiving party that is identified as confidential or that, under the circumstances of disclosure, should be reasonably understood to be confidential. The receiving party shall (a) use Confidential Information solely for the purposes of performing this Modification, (b) protect Confidential Information with at least the same degree of care as it uses to protect its own confidential information, and (c) not disclose Confidential Information to third parties except to permitted representatives bound to confidentiality obligations no less protective than those herein.

The obligations under this Confidentiality section shall survive termination or expiration of this Modification for a period of three (3) years, or such longer period as required by the Original Agreement.

Governing Law

This Modification shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of this Modification, except as otherwise provided in the Original Agreement.

Entire Agreement

Except as expressly modified herein, the Original Agreement shall remain in full force and effect. This Modification, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous understandings, agreements, or representations, oral or written, concerning the subject matter hereof.
