Recitals

WHEREAS, Client engages Contractor to perform professional services described herein and Contractor represents that it has the skill, experience, and capacity to perform such services in a competent and timely manner; and

WHEREAS, the parties desire to set forth the terms and conditions pursuant to which Contractor will provide services to Client, including scope, payment, confidentiality, and termination provisions.

1. Scope of Work

Contractor will perform the services and deliverables described below. Contractor shall perform all services in a professional and workmanlike manner consistent with industry standards.

2. Payment Terms

In consideration of the services to be rendered by Contractor, Client shall pay Contractor the fees set forth below in accordance with the invoicing and payment schedule. All payments are due in United States dollars unless otherwise agreed in writing.

Invoices shall be issued by Contractor in accordance with the Payment Schedule and are due within the number of days specified above from the invoice date. Client shall pay undisputed amounts by the due date. Disputes must be submitted in writing within ten (10) days of receipt of an invoice.

Any undisputed amount not paid when due shall accrue interest at the rate specified above, compounded monthly, and Client shall be responsible for reasonable collection costs, including attorneys' fees.

3. Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, shall continue until End Date: .

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Either party may terminate immediately for material breach by the other party that remains uncured for a period of fourteen (14) days after written notice of such breach.

4. Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by a disclosing party to the receiving party that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered confidential. The receiving party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable degree of care; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is (i) publicly available through no fault of the receiving party; (ii) rightfully received from a third party without breach of any obligation; (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates with the disclosing party to seek protective measures.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. Venue for any action arising out of or relating to this Agreement shall be in the courts of that state and the parties hereby submit to the personal jurisdiction of those courts.

6. Representations; Indemnity; Limitation of Liability

Each party represents that it has the full right, power, and authority to enter into this Agreement. Contractor shall indemnify and hold harmless Client from third-party claims arising out of Contractor's negligence or willful misconduct in performing the services. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO CONTRACTOR UNDER THIS AGREEMENT IN THE PRIOR TWELVE (12) MONTHS.

7. Entire Agreement; Amendment

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

8. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Notices shall be deemed given upon personal delivery, one (1) business day after dispatch by nationally recognized overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid, certified or registered mail.
