MISCELLANEOUS MXPM TEMPLATE

This Miscellaneous MXPM Template Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client desires to obtain certain consulting, project management, or related services from Service Provider, as more particularly described in the Scope of Work below; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and ability to perform such services and agrees to perform them under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their entire agreement in writing and to provide for payment, confidentiality, and other standard contractual protections.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described in the Scope of Work. The Scope of Work shall include deliverables, responsibilities, acceptance criteria, and any applicable milestones.

PAYMENT TERMS

Client shall pay Service Provider the fees and expenses set forth below in consideration for the services. All amounts are in U.S. dollars unless otherwise stated.

Unless otherwise agreed in writing, Client shall reimburse Service Provider for reasonable, preapproved out-of-pocket expenses incurred in the performance of services upon submission of receipts or reasonably detailed expense reports.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to its employees, advisors, or subcontractors who have a need to know and who are bound by obligations of confidentiality no less protective than those in this Agreement; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was known to the receiving party at the time of disclosure; (iii) is received from a third party free to disclose it; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each receiving party shall, at the disclosing party's election, return or securely destroy all Confidential Information and certify in writing that such return or destruction has been completed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement (including any exhibits or attachments expressly incorporated herein) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the parties: Service Provider is an independent contractor and nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between the parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, or expenses arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.
