GENERAL BUSINESS AGREEMENT (MISCELLANEOUS NATURE DOCUMENT)

Recitals

WHEREAS, Provider represents that it has the personnel, expertise, and resources necessary to perform the services described in this Agreement and is duly authorized to enter into this Agreement;

WHEREAS, Client desires to engage Provider to perform certain services of a miscellaneous nature as described herein, and Provider is willing to provide such services on the terms and conditions set forth in this Agreement;

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other material terms governing their relationship.

Scope of Work

Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. The parties agree that the following description constitutes the Scope of Work and may be amended only by written agreement.

Payment Terms

Client shall pay Provider the compensation set forth below in consideration for the Scope of Work. All amounts are US dollars unless otherwise specified.

Payments are due within days of invoice unless otherwise stated. Late payments shall accrue interest as set forth below.

In addition to interest, Client shall reimburse Provider for reasonable costs of collection, including attorneys' fees, court costs, and collection agency fees.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the End Date specified below, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice describing the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other that, by its nature or the circumstances of disclosure, should reasonably be understood to be confidential. Confidential Information includes, without limitation, business plans, customer lists, pricing, financial data, trade secrets, and technical information.

The receiving party shall: (a) hold Confidential Information in strict confidence and use it only to perform obligations under this Agreement; (b) restrict access to Confidential Information to those employees, agents, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) not disclose Confidential Information to any third party without the disclosing party's prior written consent.

Confidential Information does not include information that: (i) is or becomes publicly available through no breach of this Agreement; (ii) was in the receiving party's lawful possession prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information.

The obligations in this Section shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets, for which protection shall continue as provided by applicable law.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, damages, or losses arising out of the indemnifying party's gross negligence or willful misconduct in the performance of this Agreement. Except for breaches of confidentiality, fraud, or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth below by certified mail, nationally recognized overnight courier, or personal delivery.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If the parties cannot resolve a dispute within thirty (30) days, either party may seek relief in the state or federal courts located in the chosen state.

Entire Agreement; Amendments

This Agreement, including any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous oral and written agreements, understandings, and representations. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Relationship of the Parties: Provider is an independent contractor and not an employee or agent of Client. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest of substantially all assets or business to which this Agreement relates.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
