What the Miscellaneous NBA & CA Agreement Is

The Miscellaneous NBA & CA Agreement combines a non-binding arrangement (NBA) with a confidentiality agreement (CA) into a single document used to outline preliminary understandings while protecting sensitive information. It describes scope, mutual expectations, and what information is confidential without committing parties to a final binding transaction. Typical uses include early-stage negotiations, exploratory project discussions, vendor assessments, or pilot engagements where parties want to preserve confidentiality but avoid premature contractual obligations.

Why this Agreement Matters for Risk and Clarity

The Miscellaneous NBA & CA Agreement clarifies expectations while safeguarding proprietary information. It reduces misunderstandings during negotiations, preserves trade secrets and business data, and sets clear timelines and scope for further binding agreements, all while leaving final deal terms subject to later documentation.

Why this Agreement Matters for Risk and Clarity

Who Typically Prepares and Signs This Agreement

Organizations and individuals use this combined NBA & CA when they need a lightweight, confidential framework before committing to a binding contract.

  • Small businesses and startups evaluating partnerships or pilots where early confidentiality is needed but no binding deal exists.
  • In-house legal teams or outside counsel preparing protective language and clarifying negotiation limits for clients.
  • Consultants, contractors, and vendors who must receive sensitive information to provide proposals or demonstrations.

Use this agreement to document exchange terms and confidentiality expectations early, then follow with a binding contract once commercial terms are finalized.

Common Signer Roles and Responsibilities

Authorized Signatory

A company officer or employee with delegated authority should sign. That signer must be able to bind the organization to confidentiality terms and confirm that they have authority to disclose or receive information on behalf of the company.

External Counterparty

An outside contractor, vendor, or prospective partner who will receive confidential information and must agree to the NBA terms. The counterparty signature indicates acceptance of limits on use, dissemination, and retention of the disclosed materials.

Common Preparation Mistakes to Avoid

  • Using informal or unclear terms that leave key obligations undefined, creating disputes about scope and permitted use of disclosed information.
  • Failing to identify signatory authority or omitting job titles, which can lead to challenges that the signer lacked power to bind the organization.
  • Neglecting to set a clear effective date or using inconsistent dates across pages, which may complicate timing and statute of limitations issues.
  • Not retaining executed originals or secure electronic copies, making it difficult to prove terms, signatory intent, or compliance after a breach.
