TERM AND TERMINATION

This Agreement commences on the Start Date and continues until completion of the Scope of Work or the End Date, unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each Party shall hold in confidence and not disclose to any third party any Confidential Information disclosed by the other Party, except as required by law or as necessary to perform obligations under this Agreement. Confidential Information includes technical data, specifications, non-conformance reports, pricing, and remediation plans, whether marked confidential or reasonably understood to be confidential.

Confidentiality obligations shall survive termination for a period of years from the date of termination.

GOVERNING LAW

This Packet and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Miscellaneous NCR Packet, together with any attachments and accepted change orders signed by authorized representatives of the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior understandings, proposals, and communications, whether written or oral.
