Recitals

WHEREAS, Client desires to install a new free‑standing pylon sign (the "Pylon") at the property located at ;

WHEREAS, Contractor represents that it has the experience, licenses, equipment and personnel necessary to fabricate, deliver and install the Pylon in accordance with applicable codes and the scope of work specified herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform the work and Client will pay for the same.

Scope of Work

Permits, Approvals and Compliance

Contractor shall obtain all necessary permits, inspections and approvals required by applicable authorities for the fabrication and installation of the Pylon, unless the parties agree in writing that Client will obtain specified permits. Responsibility for permit fees:

Late Payment: Invoices unpaid after days shall accrue interest at a rate of , and Client shall be responsible for collection costs and reasonable attorneys' fees.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non‑public technical, financial or business information disclosed by the other party in connection with this Agreement, except as required by law or necessary to perform the Work. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement, independently developed without reference to the other party's confidential information, or rightfully received from a third party without restriction.

Insurance and Indemnity

Contractor shall maintain commercially reasonable liability insurance, workers' compensation and automobile insurance covering the Work. Upon request, Contractor shall provide certificates of insurance naming Client as additional insured for claims arising out of Contractor's performance. Contractor shall indemnify, defend and hold harmless Client from and against claims, losses and liabilities arising out of Contractor's negligent acts or omissions in performing the Work, except to the extent caused by Client's negligence or willful misconduct.

Warranties

Contractor warrants that the Pylon, materials and workmanship will be free from defects for a period of from substantial completion. Remedies for breach of warranty shall be limited to repair or replacement at Contractor's option, unless otherwise required by law.

Delay and Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, labor disputes, governmental action, unavailability of materials, or severe weather. The time for performance shall be extended by the duration of such event; if a force majeure event continues for more than days, either party may terminate upon written notice.

Notices

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice‑of‑law principles.

Entire Agreement
