MISCELLANEOUS NHRG JAVA AGREEMENT

This Miscellaneous NHRG Java Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (Client) and Service Provider Name: (Provider). The parties agree as follows.

WHEREAS

WHEREAS, Client desires that Provider perform certain software development, integration and related services in connection with the project commonly referred to as NHRG Java (the Project); and

WHEREAS, Provider represents that it has the personnel, skills and experience necessary to perform the services described herein and is willing to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the development, delivery and payment for the Project deliverables.

SCOPE OF WORK

PAYMENT TERMS

Any payment not received within days of the applicable due date shall incur interest at a rate of on the unpaid balance, and Client shall also be responsible for reasonable costs of collection, including attorney fees.

TERM AND TERMINATION

The term of this Agreement begins on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive or have access to confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall include non-public technical, business and financial information, source code, algorithms, designs, specifications, and any other information designated as confidential or which by its nature should reasonably be considered confidential. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information only to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or affiliates who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, already known to the receiving party prior to disclosure, or independently developed without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider shall retain ownership of pre-existing tools, libraries and general skills. All custom code, deliverables and work product created specifically for Client under this Agreement shall be deemed "Work Product" and, upon full payment of amounts due, Provider assigns to Client all right, title and interest in such Work Product, subject to Provider's retained rights in its pre-existing materials. Provider shall execute reasonable documents as may be necessary to effect such assignment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets. The failure by either party to enforce any provision shall not be construed as a waiver. If any provision is held invalid or unenforceable, the remainder will remain in full force and effect.
