RECITALS

WHEREAS, the Client previously delivered certain NTF documentation and materials that require written clarification regarding scope, obligations, or interpretation of specified items;

WHEREAS, the Provider possesses the requisite knowledge and will provide clarification, correction, and supplemental explanation regarding the NTF documentation under the terms set forth below; and

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality obligations and other terms that will govern the clarification engagement.

SCOPE OF WORK

The Provider shall perform the services described above in a professional manner consistent with industry standards and shall provide any necessary written deliverables, redlines, or annotated clarifications that specifically reference the original NTF documents.

PAYMENT TERMS

Any amounts not paid when due shall accrue interest at the lesser of (a) a rate of or (b) the maximum rate permitted by applicable law. In addition, the Client shall be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach by the other party that remains uncured for 15 days following written notice of breach.

CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not use Confidential Information except as necessary to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to those employees or professional advisors who have a need to know and who are bound by obligations of confidentiality at least as protective as those in this Agreement. The obligations in this section shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they are legally entitled to protection.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles that would apply the laws of any other jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party shall assign or subcontract its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or similar transaction. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
