Recitals

WHEREAS, Client requires certain business services and deliverables as described herein and desires to engage Provider to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to perform the services and deliver the deliverables described in this Agreement in a professional and timely manner.

WHEREAS, the parties desire to set forth herein the terms and conditions of their arrangement, including the scope of work, payment, confidentiality and other material provisions.

Scope of Work

Payment Terms

Compensation: Client shall pay Provider a total fee of $ (the Fee) for the services set forth in the Scope of Work. The Fee is exclusive of applicable taxes unless otherwise stated.

Invoicing and Payment Terms: Provider shall submit invoices in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus a late fee of $ or % per month, whichever is greater.

Term and Termination

Term: This Agreement shall commence on and shall continue in full force and effect until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for any reason upon providing days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public, proprietary, or business information disclosed by one party (Disclosing Party) to the other (Receiving Party), whether disclosed orally, in writing or by inspection, that is designated as confidential or that reasonably should be understood to be confidential.

Obligations: Receiving Party shall: (a) use Confidential Information solely to perform obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; and (c) not disclose Confidential Information to any third party except as permitted by this Agreement.

Exceptions: Confidential Information does not include information that: (i) is or becomes public through no breach by Receiving Party; (ii) was known to Receiving Party prior to disclosure without obligation of confidentiality; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of Confidential Information.

Duration: The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for as long as they qualify as trade secrets.

Representations and Warranties

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement, and that execution and performance of this Agreement will not violate any agreement with any third party.

Limitation of Liability

Except for a party's gross negligence, willful misconduct, or breaches of confidentiality or intellectual property rights, neither party shall be liable for incidental, consequential, special, punitive or exemplary damages. The aggregate liability of either party under this Agreement shall not exceed the total Fees paid to Provider under this Agreement.

Notices

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Dispute Resolution: The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement promptly by negotiation between executives of the parties. If the dispute is not resolved by negotiation within 30 days, the parties may pursue any available remedies in the courts of the chosen governing law.

Assignment and Subcontracting

Neither party may assign this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld. Provider may subcontract portions of the Work provided Provider remains responsible for performance to Client.

Entire Agreement

This Agreement, including all schedules, exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: No waiver of any breach shall be effective unless in writing and signed by the waiving party.
