4. CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party that is identified as confidential or that reasonably should be understood to be confidential. Each party shall hold Confidential Information in strict confidence and not disclose it except to employees and agents who have a need to know and who are bound to confidentiality obligations at least as protective as those herein.

The obligations in this section survive termination for a period of years, except for trade secrets which shall remain protected for so long as such information qualifies as a trade secret under applicable law. Upon request, recipient shall return or destroy Confidential Information and certify such destruction.

5. REPRESENTATIONS; LIMITATION OF LIABILITY

Each party represents that it has authority to enter into this Agreement. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY WILL BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES. IN NO EVENT WILL AGGREGATE LIABILITY EXCEED FEES PAID UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. NOTICES

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses above, and will be effective upon receipt.

7. GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to its conflict of law rules. Exclusive jurisdiction for any dispute will be vested in the state and federal courts located in that state.

8. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations and agreements. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

9. MISCELLANEOUS

If any provision is held invalid, the remaining provisions remain in effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
