Recitals

WHEREAS, Client desires to retain Service Provider to perform certain services described herein and Service Provider has the expertise and capacity to perform such services in accordance with the terms and conditions of this Agreement.

WHEREAS, the parties wish to set forth the scope, compensation, confidentiality and other terms governing their relationship for the services to be performed.

WHEREAS, this Agreement memorializes the mutual promises and understandings of the parties effective as of the Effective Date set forth below.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. Deliverables, performance milestones and acceptance criteria shall be as set forth in the Scope of Work section.

Payment Terms

Compensation: Client shall pay Service Provider the total amount set forth below for the services rendered under this Agreement. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Invoicing and Payment: Service Provider shall submit invoices in accordance with the payment schedule. Unless otherwise specified, Client must pay each undisputed invoice within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of % per month (or the maximum rate permitted by law, if lower). In addition to any late fees, Client shall be responsible for reasonable collection costs.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon prior written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately if the other party materially breaches any obligation under this Agreement and fails to cure such breach within fifteen (15) days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means any non-public information disclosed by one party to the other that is marked confidential or that, by its nature, should reasonably be considered confidential.

Obligations: Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely for the performance of obligations under this Agreement. The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was known to the receiving party at the time of disclosure without obligation of confidentiality; (iii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Intellectual Property and Work Product

Ownership: Unless otherwise agreed in writing, Service Provider retains ownership of its preexisting intellectual property and tools. Work product created specifically for Client under this Agreement shall be owned by Client upon full payment of all fees, except for any underlying general know-how, methodologies and preexisting materials retained by Service Provider.

Representations and Warranties; Indemnity

Each party represents that it has full power and authority to enter into this Agreement. Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Except as expressly set forth herein, services are provided "AS IS" and neither party makes any other warranties, express or implied.

Indemnity: Each party shall indemnify and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement, subject to applicable limitations of liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No modification or amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify by written notice. Notices shall be deemed given upon personal delivery, next-business-day courier, or three (3) days after deposit in the U.S. mail with postage prepaid.

Miscellaneous

Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any other or subsequent breach.
