MISCELLANEOUS ORDER WORKBOOK

Recitals

WHEREAS, Client requires certain goods and services described in this Miscellaneous Order Workbook and Supplier represents that it has the skill, personnel and capacity to furnish such goods and services under the terms set forth herein; and

WHEREAS, the parties desire to set forth their agreement regarding individual orders, scope, pricing, delivery, confidentiality and governance of this relationship in a single workbook document that serves both as an order form and contracting instrument.

Scope of Work

Supplier shall perform the work and deliver the goods described below in conformity with the standards, schedule and acceptance criteria set forth in this workbook. The parties agree that each listed order line is incorporated into this Agreement as an individual deliverable.

Payment Terms

Client shall pay Supplier for accepted goods and services in accordance with the terms below. All amounts are stated in the currency specified in each order line.

A late fee of % per month shall apply to any past-due amount after a grace period of days from invoice date. Late fees are calculated from the invoice due date until paid in full.

Term and Termination

This workbook and any orders issued hereunder commence and terminate as set forth below unless earlier terminated in accordance with this section.

Either party may terminate this workbook or any individual order for material breach if the breaching party fails to cure within the notice period specified above. Termination for convenience by either party requires the notice period and payment for work performed through the termination effective date.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party that a reasonable person would consider confidential, including pricing, commercial terms, specifications, trade secrets and client lists ("Confidential Information"). Confidential Information shall not include information that is publicly known, already lawfully known by the receiving party, independently developed, or rightfully obtained from a third party without restriction.

The receiving party shall use Confidential Information solely to perform its obligations under this workbook and shall not disclose such information except to employees, contractors or advisors with a need to know and who are bound by confidentiality no less protective than this provision. Upon termination or written request, Confidential Information (and copies) shall be returned or certified destroyed.

Governing Law

This workbook shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflicts of law principles. The parties agree that disputes will be resolved in the state and federal courts located in that jurisdiction unless the parties mutually agree otherwise in writing.

Entire Agreement

This workbook, including any order lines, scopes and attachments executed by the parties, constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior negotiations, representations and agreements, whether written or oral. Any modification must be in a written instrument signed by authorized representatives of both parties.

Miscellaneous Provisions

Neither party may assign its rights or obligations under this workbook without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets. The invalidity of any provision shall not affect the remaining provisions, which shall remain in full force and effect.
