Recitals

WHEREAS, Client and Contractor are parties to a Master Services Agreement (the Master Agreement) dated under which Contractor provides over-the-road logistics and related services; and

WHEREAS, the parties desire to set forth additional terms and operational particulars applicable to over‑the‑road ("OTR") services provided by Contractor to Client as an appendix to the Master Agreement; and

WHEREAS, the parties intend that this Appendix govern the specific scope, payment, term and confidentiality obligations for OTR services and be incorporated into and form part of the Master Agreement.

Scope of Work

Services include, at a minimum, carriage of freight by motor carrier, driver compliance with applicable hours-of-service rules, timely reporting, and routine communications as required by Client. Any deviation from the described services must be approved in writing by Client.

Invoices shall be issued to the billing contact set forth below and paid within days of receipt. Payments not received when due shall accrue interest at (or the maximum permitted by law), calculated from the invoice due date until paid in full.

Either party may terminate this Appendix for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party that is not cured within a commercially reasonable cure period following written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party in connection with the services, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) use Confidential Information solely to perform obligations under this Appendix; (b) restrict disclosure to those employees, agents and subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) protect Confidential Information using reasonable care, but in no event less than the care it uses to protect its own confidential information of similar importance.

The obligations in this Confidentiality section survive termination or expiration of this Appendix for a period of three (3) years, except that trade secrets and personally identifiable information shall be protected for so long as such information qualifies as a trade secret or is required by law to be protected.

Insurance and Compliance (Summary)

Contractor represents that it maintains insurance and regulatory compliance consistent with the Master Agreement and applicable law for OTR operations, including but not limited to motor carrier liability, cargo, and workers' compensation coverage. Contractor shall provide certificates of insurance upon request and shall notify Client of any material change in coverage.

Governing Law

This Appendix shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

Entire Agreement

This Appendix, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment to this Appendix must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Appendix without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Severability: If any provision of this Appendix is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
