This Agreement shall commence on the Effective Date and continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for any material breach by the other party that remains uncured for the notice period specified above, or immediately for cause where authorized by law.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform under this Agreement. "Confidential Information" includes non-public business information, technical data, trade secrets, pricing, customer lists, and other proprietary information disclosed in connection with this Agreement, whether disclosed orally, visually, or in writing.

The Receiving Party shall restrict disclosure of Confidential Information to those employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that: (a) is or becomes generally available to the public through no act or omission of the Receiving Party; (b) was known to the Receiving Party prior to disclosure by the Disclosing Party; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Representations; Insurance; Indemnity

Each party represents that it has the full right, power and authority to enter into this Agreement. Provider shall maintain appropriate insurance coverage as required by applicable law and as reasonably requested by Client. Provider shall indemnify, defend and hold harmless Client from and against any claims arising out of Provider's negligent acts, omissions or willful misconduct in the performance of services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, both written and oral, concerning the subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
