MISCELLANEOUS PAGE FIX AGREEMENT

This Miscellaneous Page Fix Agreement (the "Agreement") is made by and between Client Name: and Contractor Name: . The parties agree as follows.

RECITALS

WHEREAS, Client operates and maintains a website or digital presence requiring technical corrections, editorial adjustments, or layout modifications to one or more pages (collectively, the "Page Fixes"); and

WHEREAS, Contractor represents that it has the technical expertise, personnel and resources to perform the Page Fixes in a timely and professional manner under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Contractor shall perform the Page Fixes in accordance with the description above and deliver completed work that conforms to the acceptance criteria specified. Contractor shall use personnel with suitable skill and shall perform in a workmanlike manner consistent with industry standards.

PAYMENT TERMS

Invoices will be issued by Contractor upon completion of each payment milestone described above. Payments are due within days of invoice date.

Unpaid amounts shall accrue late fees at a rate of on the outstanding balance, compounded monthly, or the maximum rate permitted by applicable law, whichever is less.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Contractor and Client each agree: (a) to hold Confidential Information of the other in confidence and to protect it with at least the same degree of care used to protect their own confidential information but in no event less than reasonable care; (b) not to use Confidential Information other than for performance of this Agreement; and (c) not to disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is received from a third party without restriction and without breach of an obligation of confidentiality; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or upon the disclosing party's written request, the receiving party will promptly return or destroy, at the disclosing party's election, all tangible materials containing Confidential Information and certify in writing the destruction of such materials within days.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved in the state or federal courts located in the jurisdiction of the chosen governing state, and the parties submit to personal jurisdiction therein.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No modification of this Agreement is effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and will be deemed given upon receipt.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets. The invalidity or unenforceability of any particular provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provision were omitted.
