MISCELLANEOUS PANEL REPLACEMENT AGREEMENT

Recitals

WHEREAS, Client Name: desires to engage Contractor to perform replacement of certain panels at the work site described below; and

WHEREAS, Contractor Name: represents that it has the experience, personnel, and licenses necessary to perform the panel replacement work in a workmanlike manner in accordance with applicable industry standards; and

WHEREAS, the parties desire to set forth the terms, scope, and payment for the Miscellaneous Panel Replacement as of the Effective Date: .

Scope of Work

The Contractor shall replace the panels described below and perform associated labor, testing, and cleanup in accordance with the specifications provided. Contractor shall obtain and maintain all permits and approvals required by law unless otherwise specified in this Agreement.

Payment Terms

The total contract price for the Panel Replacement Services shall be the amount set forth below and is payable according to the schedule below. All amounts are in U.S. dollars.

All invoices shall be payable within the number of days specified in the Payment Schedule. If Client disputes any portion of an invoice, Client must provide written notice setting forth the basis for the dispute within ten (10) days of receipt; undisputed amounts remain payable in accordance with this Agreement.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated, expires on End Date: .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within Notice Period (days): days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for work properly performed prior to termination.

In case of termination for convenience by Client, Contractor shall be entitled to payment for work performed, materials purchased, and reasonable demobilization costs. Contractor shall use commercially reasonable efforts to mitigate costs upon notice of termination.

Confidentiality

For the purposes of this Agreement, Confidential Information means non-public business, technical, or financial information disclosed by one party to the other. Each party agrees to hold Confidential Information in confidence, use it solely to perform obligations under this Agreement, and not disclose it to third parties except to employees, agents, or subcontractors who have a need to know and who are bound by obligations of confidentiality at least as protective as this Agreement. The obligations under this Section shall survive termination for a period of Confidentiality Duration (years): years.

Warranties; Insurance; Indemnity

Contractor warrants that materials and workmanship furnished under this Agreement shall be free from defects for Warranty Period (months): months from completion. Remedies for breach of this warranty shall be limited to repair or replacement at Contractor's expense, at Client's election, provided Client gives prompt written notice of any defect.
