MISCELLANEOUS PARKLANDS AGREEMENT

This Miscellaneous Parklands Agreement (the Agreement) is entered into on the day of , by and between:

RECITALS

WHEREAS, Client desires to undertake certain limited activities and services within the parklands under the control of Parklands Manager at the location described below; and

WHEREAS, Parklands Manager has authority to permit use of the parklands subject to the terms and conditions set forth in this Agreement and applicable rules and regulations; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the use, care, and management of the parklands and related services.

PARKLANDS LOCATION & DESCRIPTION

SCOPE OF WORK

The parties agree that the scope of work shall be limited to the activities set forth below. Client shall perform the work in a manner consistent with good industry practice, in compliance with applicable laws, and without causing damage to parklands. All work shall be coordinated with Parklands Manager and performed in accordance with any directions issued by Parklands Manager.

PAYMENT TERMS

In consideration for the services and use of the parklands, Client shall pay Parklands Manager the fees set forth below. Fees are exclusive of taxes unless otherwise stated.

All invoices are due in accordance with the payment schedule. Any failure to pay when due will entitle Parklands Manager to suspend permits or access until payment is made, in addition to pursuing other remedies provided by law.

TERM AND TERMINATION

This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Parklands Manager may also terminate immediately if continuation would present an imminent risk to public safety or the parklands.

CONFIDENTIALITY

Except as required by law, the parties shall keep confidential all non-public information disclosed in connection with this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this Agreement or that is independently developed by the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
